1. Agreement to Terms

By accessing and using AA Kinetic services (our platform, applications, APIs, and any related products), you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to any of these terms, do not use our services.

Eligibility: You represent that you are at least 18 years of age (or of legal age in your jurisdiction to enter into binding agreements) and that you have the authority to enter into these terms on behalf of yourself or your organization.

2. License and Intellectual Property

2.1 Our IP

AA Kinetic retains all intellectual property rights in our platform, software, algorithms, and services, except where you have specifically licensed third-party components (which are governed by their respective licenses).

2.2 Your IP

You retain all intellectual property rights in any content, data, or work product you create, upload, or generate using our services. By providing data or content to AA Kinetic, you grant us a limited license to process, analyze, and store that content solely for the purpose of delivering the services you've requested.

2.3 Feedback

Any feedback, suggestions, or improvements you provide to AA Kinetic may be used by us without obligation or compensation to you.

3. Acceptable Use

You agree not to use our services to:

  • Violate any applicable law, regulation, or third-party rights
  • Access, intercept, or interfere with systems or data you do not have permission to access
  • Reverse engineer, decompile, or attempt to derive the source code of our platform
  • Interfere with or disrupt the integrity or performance of our services
  • Generate, use, or distribute content that is defamatory, harassing, abusive, or otherwise harmful
  • Infringe upon Meta Platforms' intellectual property rights when accessing Meta data
  • Use our services to train external AI models or systems without explicit written permission

4. Meta Platform Data and Usage

4.1 Authorization

When you authorize AA Kinetic to access Meta Platform data (Facebook, Instagram), you represent that you have the legal right to do so and that you own or control the Pages or accounts from which you're requesting data access.

4.2 Compliance

You agree to comply with Meta's Platform Policies and Responsible Platform Policies. AA Kinetic will use Meta Platform data solely in accordance with this agreement and applicable law.

4.3 Revocation

You may revoke AA Kinetic's access to your Meta Platform data at any time by removing the authorization through your Meta account settings. Upon revocation, we will stop accessing new data but may retain data already collected in accordance with our Privacy Policy.

5. User Responsibilities

You are responsible for:

  • Maintaining the confidentiality of your account credentials and any API keys
  • Ensuring that your use of our services complies with all applicable laws and third-party rights
  • The legality and accuracy of any data you upload or content you create
  • Notifying AA Kinetic immediately if you discover unauthorized access to your account

6. Service Availability and Changes

AA Kinetic provides services on an "as-is" basis. We make no warranty that our services will be uninterrupted, error-free, or meet your specific requirements. We reserve the right to modify, suspend, or discontinue services (or features thereof) at any time, with reasonable notice where practicable.

7. Payments and Billing

If you are a paid customer:

  • Fees are in USD unless otherwise specified in your service agreement
  • Payments are non-refundable except where required by law
  • We may update pricing with 30 days' notice
  • Failure to pay may result in suspension or termination of your account

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • AA Kinetic is NOT liable for any indirect, incidental, special, or consequential damages, including lost profits, lost revenue, or lost data
  • Our total liability to you in any 12-month period shall not exceed the fees you paid during that period (or $100 USD if you are a free user)
  • AA Kinetic is not responsible for the accuracy, completeness, or legality of any insights, analysis, or output generated by our services
  • We are not liable for third-party actions, including unauthorized access to your Meta account or breaches of Meta's platform by other parties

9. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AA KINETIC SERVICES ARE PROVIDED "AS-IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that:

  • Our services will be uninterrupted, secure, or error-free
  • Defects will be corrected
  • Any content delivered through our services is accurate or complete
  • Any data loss will not occur

10. Indemnification

You agree to indemnify and hold harmless AA Kinetic, its officers, directors, and employees from any claims, damages, or costs (including legal fees) arising from:

  • Your violation of these terms or applicable law
  • Your use of our services in an unauthorized or illegal manner
  • Content you upload, create, or generate using our services
  • Your infringement of any third-party rights

11. Termination

AA Kinetic may suspend or terminate your account immediately if:

  • You violate these terms
  • You use our services for illegal purposes
  • You interfere with or damage our infrastructure
  • You fail to pay fees when due

You may terminate your account at any time by contacting us. Upon termination, your right to use our services ends, but we retain the right to retain data in accordance with our Privacy Policy.

12. Governing Law and Dispute Resolution

These terms are governed by the laws of the State of Connecticut, United States, without regard to conflict of law principles. Any legal action or proceeding relating to these terms shall be brought exclusively in the state or federal courts located in Connecticut, and you consent to the jurisdiction and venue of such courts.

13. Severability

If any provision of these terms is found to be invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it valid, and the remainder of these terms shall continue in full force and effect.

14. Changes to Terms

AA Kinetic may modify these terms at any time. We will post updated terms on this page and update the "Last Updated" date. Material changes will be communicated to active customers via email. Your continued use of our services following such notification constitutes acceptance of the updated terms.
